Terms and conditions

These Terms & Conditions ("Terms") govern your access to and use of the BitsMedicare website, software applications, SaaS services, mobile applications and related products.

By accessing or using our services, you agree to these Terms, subject to applicable law.

1. Definitions
    "BitsMedicare", "we", "us" or "our" means the provider of BitsMedicare software and related services.
    "Customer" means the hospital, clinic, healthcare organisation, company or individual purchasing or using our services.
    "Authorised User" means a doctor, staff member, administrator, employee or other person authorised by the Customer to use the Software.
    "Software" means BitsMedicare applications, modules, interfaces, documentation, databases, APIs and related technology.

2. Our Services
    BitsMedicare may provide software features including:
    • Hospital management
    • Branch management
    • Doctor and staff management
    • Patient registration
    • Appointment management
    • OPD, IPD and emergency tracking
    • Billing and invoices
    • Reports and dashboards
    • Healthcare administration
    • Other modules and services introduced by BitsMedicare
    The actual features available depend on the selected package, subscription or agreement.

3. Account Registration
    Customers must provide accurate information when registering for an account.
    Customers are responsible for:
    • Maintaining account security
    • Keeping passwords confidential
    • Managing authorised users
    • Assigning appropriate permissions
    • Activities performed through their accounts

4. Software Licence
    Subject to payment of applicable fees and compliance with these Terms, BitsMedicare grants the Customer a limited, non-exclusive, non-transferable right to use the Software during the applicable subscription or licence period.
    No ownership of the underlying Software is transferred to the Customer.

5. Intellectual Property Rights
    BitsMedicare retains all rights, title and interest in:
    • Software
    • Source code
    • Object code
    • Algorithms
    • Software architecture
    • Databases and database structures
    • Designs and interfaces
    • Documentation
    • Trademarks and logos
    • Proprietary technology
    • Generic software components
    • Improvements and enhancements
    Customers must not copy, reproduce, reverse engineer, modify, sell, sublicense or distribute BitsMedicare Software except as expressly permitted by written agreement or applicable law.

6. Customer Data
    Customers retain their rights in Customer Data.
    BitsMedicare may process Customer Data as necessary to provide services and fulfil contractual obligations, subject to applicable law.
    Customers are responsible for the legality, accuracy and authorised use of information entered into the system.

7. Prohibited Activities
    Customers must not:
    • Use the Software for unlawful activities
    • Attempt unauthorised access
    • Circumvent security controls
    • Upload malicious code
    • Interfere with system infrastructure
    • Share accounts improperly
    • Resell access without written permission
    • Use the Software to violate another person's rights
    • Reverse engineer the Software except where legally permitted

8. Healthcare Use
    BitsMedicare is intended to support healthcare administration, information management and operational processes.
    Unless expressly stated otherwise, the Software does not replace professional medical judgment.
    Healthcare professionals remain responsible for diagnosis, treatment, clinical decisions and patient care.

9. Fees and Taxes
    Customers must pay fees according to the applicable quotation, invoice, subscription plan or agreement.
    Applicable taxes, including GST where applicable, may be charged separately.

10. Suspension of Services
    BitsMedicare may suspend access where reasonably necessary due to:
    • Non-payment
    • Security risks
    • Suspected unauthorised use
    • Material breach of these Terms
    • Legal or regulatory requirements
    • Activities threatening system integrity
    Where reasonably practicable, we will provide notice before suspension.

11. Software Availability
    BitsMedicare will make commercially reasonable efforts to maintain service availability.
    Availability may be affected by planned maintenance, emergency maintenance, infrastructure failures, internet disruptions or events beyond reasonable control.
    Specific service commitments, if any, will be governed by the applicable SLA or agreement.

12. Third-Party Services
    Some features may depend upon third-party services, APIs, payment gateways, SMS providers, cloud infrastructure or external systems.
    BitsMedicare may not be responsible for failures caused exclusively by such third parties.

13. Warranty
    BitsMedicare will provide services substantially in accordance with the applicable product or service description.
    Except as expressly stated in a written agreement and to the extent permitted by law, no additional warranties are made regarding uninterrupted or error-free operation.

14. Limitation of Liability
    To the maximum extent permitted by applicable law, BitsMedicare's liability arising from a service will be limited to the amount actually paid by the Customer for the affected service during the applicable contractual period, except where such limitation is prohibited by law.
    Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Indemnity
    To the extent permitted by applicable law, the Customer agrees to indemnify BitsMedicare against claims arising from:
    • Unlawful use of the Software
    • Unlawful Customer Data
    • Unauthorised account use
    • Customer's breach of these Terms
    • Violation of third-party rights by Customer-provided content

16. Termination
    Either party may terminate services according to the applicable agreement.
    Termination may result in suspension of access after the applicable termination date.
    Data export and retention will be handled according to the applicable contract and applicable law.

17. Refunds
    Refunds and cancellations are governed by the BitsMedicare Refund & Cancellation Policy and any applicable commercial agreement.
    Completed implementation, customisation and professional services may be non-refundable, subject to applicable law.

18. Confidentiality
    Each party shall maintain the confidentiality of confidential information received from the other party and use it only for legitimate contractual purposes.

19. Governing Law
    These Terms shall be governed by the laws applicable in India.
    Subject to applicable consumer rights and other mandatory legal rights, disputes shall be subject to the jurisdiction specified in the applicable agreement.

20. Changes to These Terms
    BitsMedicare may update these Terms from time to time.
    The updated version will be published on the website with the applicable effective date.
